License Description:

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the licensed technology and intellectual property related to software products within California, subject to the terms herein.

Licensing Terms:

The license fee shall be $10,000 payable upon execution of this agreement. The license shall be valid for a period of 12 months, renewable upon mutual agreement.

Licensee Responsibilities:

The Licensee agrees to use the licensed property solely within the scope of this agreement, maintain confidentiality, and not sublicense or transfer rights without prior written consent from the Licensor.
