Purpose of Agreement:

The parties wish to explore a potential business relationship and agree to share confidential information for this purpose under the terms set forth herein.

Definition of Confidential Information:

Confidential Information includes any non-public, proprietary, or sensitive information disclosed by the Disclosing Party to the Receiving Party, whether orally, in writing, or electronically.

Obligations of Receiving Party:
