Purpose of the Venture:

The parties hereby establish a joint venture to develop, manage, and profit from the real estate project located at 789 Sunset Blvd, Los Angeles, CA 90028, or other designated properties as agreed upon.

Contributions:

Partner A shall contribute capital, expertise, and resources as outlined in Schedule A. Partner B shall contribute property rights, funding, and management services as specified in Schedule B.
